1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the QuoteTxt LLC ("QuoteTxt," "we," "us," or "our") software platform, including automated chat interfaces, websites, white-labeled contractor experiences, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

The Service may allow sign-in through third-party identity providers (such as Facebook or Google). If you use a third-party login, you authorize QuoteTxt to receive account information from that provider as described in our Privacy Policy, and your use of that provider remains subject to the provider's own terms and policies.

2. Description of the Service

QuoteTxt provides an automated, AI-powered platform that collects project information and generates preliminary, non-binding estimates for home and property services. The Service facilitates communication between users and independent third-party contractors. QuoteTxt does not provide contracting services, pricing guarantees, or professional advice.

3. Automated & AI-Powered Nature of the Service

• The Service is powered by automated artificial intelligence systems
• Interactions occur without real-time human review
• AI outputs are generated based on user-provided inputs and may be incomplete or inaccurate
• Estimates are informational only and may differ from final contractor pricing

You should not rely on the Service as a substitute for professional judgment, inspections, or advice.

4. Contractor Relationship Disclaimer

Contractors accessible through the Service are independent third parties, not employees, agents, or partners of QuoteTxt.

• QuoteTxt does not set final pricing, availability, or terms
• QuoteTxt is not responsible for contractor performance, communications, agreements, or outcomes

Any contract or transaction is solely between you and the contractor.

5. User Responsibilities

• Provide accurate and truthful information
• Upload only content you have the right to share
• Not submit illegal, harmful, misleading, or abusive content
• Not attempt to reverse-engineer, disrupt, or misuse the Service

You are responsible for verifying estimates and contractor credentials independently.

6. User Content

You retain ownership of content you submit ("User Content"). By submitting content, you grant QuoteTxt a limited, non-exclusive, royalty-free license to:

• Process, analyze, and transmit content to contractors
• Use content for AI-enabled analysis and Service operation
• Store content as necessary to provide the Service

You represent that you have all necessary rights to submit such content.

7. White-Label & Contractor-Branded Use

The Service may be presented under contractor branding ("white-labeled"). Regardless of branding, QuoteTxt remains the platform provider, automated AI processing still applies, data handling is governed by QuoteTxt's Privacy Policy, and contractors act as independent data controllers once information is shared.

8. Payments (If Applicable)

• Payments are processed by third-party payment processors
• QuoteTxt does not store full payment credentials
• QuoteTxt is not responsible for refunds, disputes, or pricing disagreements between users and contractors

9. Intellectual Property

The Service, including software, design, text, and AI systems, is owned by QuoteTxt or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or exploit any part of the Service without written permission.

10. Disclaimers

The Service is provided "as is" and "as available."

QuoteTxt disclaims all warranties, express or implied, including warranties of accuracy, merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee estimate accuracy, contractor availability, service uptime, or project outcomes.

11. Limitation of Liability

To the maximum extent permitted by law, QuoteTxt shall not be liable for indirect, incidental, special, or consequential damages; losses arising from contractor services or pricing; reliance on AI-generated outputs; or unauthorized access or data misuse beyond reasonable safeguards. QuoteTxt's total liability shall not exceed $100 USD or the amount you paid to QuoteTxt in the prior 12 months, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless QuoteTxt from claims arising out of your use of the Service, content you submit, interactions or disputes with contractors, or violation of these Terms.

13. Termination

QuoteTxt may suspend or terminate access at any time for violation of these Terms or misuse of the Service. You may stop using the Service at any time.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in state or federal courts located in Delaware, unless otherwise required by law.

15. Changes to These Terms

QuoteTxt may update these Terms from time to time. Continued use of the Service after updates constitutes acceptance.

17. SMS Messaging Terms

By opting in to receive SMS messages from QuoteTxt or a participating contractor using the Service, you agree to receive service-related text messages, such as quote updates, scheduling updates, appointment reminders, and follow-up messages.

Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time, and reply HELP for help.
